Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your use of the VoIP telecommunications services and website provided by ONVOIPTELECOM LTD ("we", "us", "our", "ONVoIP Telecom"), a company registered in England and Wales with its registered office at 68 Rosslyn Hill, London, England, NW3 1ND.
By accessing our Website or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
2. Definitions
- "Services" — the VoIP telephony services, hosted PBX, SIP trunking, virtual numbers, unified communications, and any related products we provide.
- "Customer" / "you" — the individual or business entity subscribing to our Services.
- "User" — any person authorised by the Customer to use the Services under the Customer's account.
- "Website" — onvoiptelecom.com and any subdomains.
3. Eligibility
Our Services are available to individuals aged 18 or over and to businesses registered in the United Kingdom. By subscribing, you confirm that you meet these eligibility requirements.
4. Account Registration
To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.
5. Services
5.1 Service Description
We provide VoIP-based telecommunications services including but not limited to business phone systems, SIP trunking, hosted PBX, virtual phone numbers, unified communications, and call centre solutions.
5.2 Service Availability
We aim to provide 99.99% uptime for our core Services. However, Services may be subject to temporary interruptions for maintenance, upgrades, or circumstances beyond our control. We will provide reasonable advance notice of planned maintenance where possible.
5.3 Emergency Services
IMPORTANT: VoIP services have limitations regarding emergency calls (999/112). VoIP calls to emergency services may not function in the same way as traditional telephone services. You may not be able to make emergency calls if your internet connection fails, during power outages, or if your equipment malfunctions. You should maintain an alternative means of contacting emergency services.
5.4 Number Porting
We offer number porting from other UK providers subject to the gaining provider process. Porting timelines are subject to the releasing provider's cooperation and typically take 5–10 business days.
6. Pricing and Payment
6.1 Fees
Service fees are as set out on our Website or as agreed in your individual service agreement. All prices are in British Pounds Sterling (£) and exclude VAT unless stated otherwise.
6.2 Billing
Services are billed monthly in advance. Usage-based charges (e.g., international calls) are billed monthly in arrears. Payment is due within 14 days of the invoice date.
6.3 Late Payment
If payment is not received by the due date, we reserve the right to suspend your Services and/or charge interest at the rate of 4% above the Bank of England base rate.
6.4 Price Changes
We may change our prices by giving you at least 30 days' written notice. If you do not agree to the new prices, you may terminate your Services within this notice period without penalty.
7. Acceptable Use
Your use of our Services is subject to our Acceptable Use Policy. We reserve the right to suspend or terminate Services if you breach the Acceptable Use Policy.
8. Term and Termination
8.1 Term
Unless otherwise agreed, Services are provided on a rolling monthly basis commencing on after activation.
8.2 Cancellation by You
You may cancel your Services at any time by providing at least 30 days' written notice. Your Services will continue until the end of the current billing period.
8.3 Termination by Us
We may suspend or terminate your Services immediately if:
- You breach these Terms or our Acceptable Use Policy
- You fail to pay any amount due
- We are required to do so by law or a regulatory authority
- We reasonably suspect fraudulent or illegal activity on your account
8.4 Effect of Termination
Upon termination, your access to Services will cease. You remain liable for any outstanding charges. We will retain call data records in accordance with our legal obligations.
9. Intellectual Property
All content on our Website, including text, graphics, logos, and software, is the property of ONVOIPTELECOM LTD or its licensors and is protected by copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the total amount paid by you in the 12 months preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
- We are not liable for any failure or interruption of Services caused by circumstances beyond our reasonable control (force majeure).
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
11. Indemnification
You agree to indemnify and hold harmless ONVOIPTELECOM LTD, its directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or breach of these Terms.
12. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018.
13. Complaints
If you are dissatisfied with our Services, please refer to our Complaints Procedure.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or notice on our Website. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
